Hinckley Allen Welcomes New Partners Justine M. Clark and Charles W. Normand, and Promotes Jonathan T. Elder


Hinckley Allen has added, partner, Justine M. Clark to its Corporate & Business practice in New York and partner Charles W. Normand to its Health Care practice in Providence and Boston. In addition, Boston’s Jonathan T. Elder, member of the Construction & Public Contracts group, has recently been promoted to partner.

Justine most recently was a partner at Carter Ledyard & Milburn, working in their corporate practice group concentrating on banking institutions, municipal finance, capital market transactions, and asset based-lending. Justine frequently serves as either credit enhancement counsel or underwriter’s counsel in connection with a wide variety of tax-exempt and taxable bond issues; some of these taxable bond issues include hospital bonds, housing bonds, industrial development bonds, educational facilities bonds, transportation facility bonds, and cultural development bonds. Prior to joining Carter Ledyard & Milburn, Justine served as bond counsel with respect to many of the principal issuers of such bonds.

Justine has extensive experience in the area of equipment leasing, representing both lessors and lessees on big ticket equipment transactions.  Justine has also represented banking institutions in connection with syndicated financial transactions, bilateral credit facilities and stand by funding agreements. In addition, she has represented financial institutions in connection with the structuring and documentation of capital markets instruments, repurchase agreements,derivatives and synthetic securities, and has structured numerous cross-border financing agreements for hedge funds and fund-of-fund transactions.

Justine received her J.D. from New York Law School and a B.S. degree from Barnard College.

Charlie was most recently a partner at Robinson & Cole in their health practice group. He has extensive experience representing corporate clients and a broad range of local and national health care providers on transactional, regulatory, compliance, and related matters. Charlie provides a unique and practical perspective, having experience as both outside and in-house counsel and as a former Medicare provider representative.

Charlie has represented clients in a variety of complex transactions including mergers, acquisitions, affiliations, reorganizations, and financings. In addition to transactions, Charlie concentrates on a variety of specialized health care areas, including payor contracting,  Medicare and Medicaid reimbursement and coverage issues, Stark law and fraud and abuse analysis, HIPAA, medical records and information technology issues, and compliance program guidance.

Charlie is a member of the American Health Lawyers Association, is on the Executive Advisory Counsel of AARP-RI and on the Board of Nurse Practitioner Associates for Continuing Education.

He received his J.D. from Boston University School of Law, M.P.M. from University of Maryland School of Public Affairs, and B.A. from Bates College.

Jon has been with Hinckley Allen since 2008 and is a member of the Construction & Public Contracts practice group. Jon has experience in all of phases of construction, including bidding and bid protests, contract drafting and negotiation, dispute resolution, and litigation. He has been listed in New England Super Lawyers Rising Stars since 2009 in the area of Construction Litigation. Recently, he presented at the AICPA National Construction Industry Conference alongside Hinckley Allen partner Timothy Corey on key clauses in construction contracts.

Jon received his J.D. from Boston University School of Law and B.A. from Middlebury College.
